1. Acceptance of Terms
By accessing or using the Go Send Am Ltd dispatch operating system (the “Platform”), you (the “Logistics Company” or “User”) agree to be legally bound by these Terms and Conditions of Service (“Terms”). These Terms constitute a legally binding agreement between you and Go Send Am Ltd (“the Company”, “we”, “us”, or “our”).
If you access or use the Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Platform.
We reserve the right to update these Terms from time to time. We will notify registered Users of material changes via the email address on record or via an in-platform notification at least fourteen (14) days before the changes take effect. Your continued use of the Platform after the effective date of any revised Terms constitutes your acceptance of those changes.
2. Business Onboarding & Verification (KYB)
To maintain the integrity of our network, Go Send Am Ltd enforces Know Your Business (“KYB”) requirements before granting full access to the Platform.
2.1 Verification Process
During onboarding, you will be required to submit your CAC registration number and the National Identification Number (NIN) of a director or duly authorised representative. We transmit these identifiers to the relevant government verification platforms — the Corporate Affairs Commission (CAC) system and the National Identity Management Commission (NIMC) system — solely to confirm that your business is legally registered in Nigeria.
We do not store your CAC number or NIN. Once the government platform returns a verified status, the raw identifiers are immediately discarded. We retain only the verification outcome (confirmed or failed) and the name of the verified representative, linked to your account record.
Our identity verification process is supported by Prembly Limited, a licensed identity verification and compliance technology provider. By completing the KYB verification flow, you acknowledge that the data you submit for verification purposes may be processed by Prembly as a sub-processor in accordance with Prembly’s Terms of Use (https://prembly.com/terms) and Privacy Policy (https://prembly.com/privacy). Prembly’s processing of your verification data is governed by their own terms and applicable Nigerian law. For questions about Prembly’s data practices, contact them at [email protected].
2.2 Additional Requirements
You must provide accurate and current contact details, including a valid business email address and phone number. You are under a continuing obligation to notify us promptly if any material information about your business changes after onboarding.
2.3 Consequences of False Information
You warrant that all information submitted during and after onboarding is accurate, complete, and not misleading. We reserve the right to immediately suspend or permanently terminate your account, without prior notice, if verification details are found to be fraudulent or deliberately incorrect.
Any dispute about the accuracy of KYB details will be assessed against the confirmation record returned by the government verification platform at the time of onboarding, as we do not retain the raw identifiers after that point. Where an account is suspended pending investigation, any wallet balance will be held and returned net of outstanding fees once the investigation is resolved, unless fraud is established.
3. Nature of Service
Go Send Am Ltd provides a Software-as-a-Service (“SaaS”) platform for dispatch operations management. The Platform enables Logistics Companies to record jobs, assign riders, track deliveries, manage financial records, enforce operations, and generate performance reports.
3.1 Software Only
We provide digital infrastructure. We do not own vehicles, employ riders, hold physical goods, or perform delivery services of any kind. We are not a logistics company, a courier, a haulage operator, or a transport intermediary. We are a technology platform.
3.2 Data Role
Under the Nigeria Data Protection Act 2023 (“NDPA”), Go Send Am Ltd acts as a Data Processor. The Logistics Company acts as the Data Controller for all customer and rider data inputted into the Platform. Each party shall comply with its respective obligations under the NDPA.
3.3 No Employment Relationship
Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Go Send Am Ltd and any rider, courier, or third party engaged by the Logistics Company. All riders and delivery personnel are the sole responsibility of the Logistics Company.
3.4 Logistics Company Responsibility for Goods
Go Send Am Ltd does not take possession of, handle, store, insure, or transport any goods or packages at any point. All physical goods and packages recorded on the Platform remain under the exclusive custody and control of the Logistics Company and its riders at all times. By using the Platform, the Logistics Company expressly acknowledges and agrees that:
- It is solely responsible for the safe collection, handling, transit, and delivery of all goods and packages recorded on the Platform.
- It bears full liability for any loss, theft, damage, misdelivery, or deterioration of goods or packages during transit or while in the custody of its riders, agents, or sub-contractors, regardless of how the dispatch was recorded or managed on the Platform.
- It is responsible for obtaining any insurance, indemnity bonds, or other financial protection it deems appropriate to cover the goods it handles. Go Send Am Ltd does not provide and is not required to provide any such cover.
- Any claim by a shipper, vendor, customer, or recipient arising from loss or damage to goods must be directed to and resolved by the Logistics Company. Go Send Am Ltd has no liability to any such party in respect of goods or packages and shall not be joined in any such dispute.
3.5 Insurance Advisory
Go Send Am Ltd strongly advises all Logistics Companies to obtain adequate insurance cover before commencing operations on the Platform. This should include, at minimum: goods-in-transit insurance covering loss, theft, and damage to packages handled by the Logistics Company and its riders; employer’s liability or workmen’s compensation insurance covering riders and other employees engaged in delivery operations; and third-party liability insurance covering any damage caused to third parties during delivery operations.
Go Send Am Ltd makes no representation that any specific insurance product is suitable for your operations. The nature, terms, and adequacy of any insurance obtained are entirely your responsibility. The absence of insurance does not limit or reduce your liability to shippers, customers, or riders under these Terms or under applicable Nigerian law.
4. Platform Configuration — Logistics Company Responsibility
4.1 User-Configured Settings
The Platform allows each Logistics Company to configure a wide range of operational and financial settings independently. These include but are not limited to:
- Delivery pricing models and rates (flat rate, rate per distance, or rate per distance and weight).
- Re-delivery fee structures (fixed amount or percentage of the original delivery charge).
- Demurrage (daily storage fee) rates applicable after the grace period on undelivered packages.
- Maximum permitted delivery attempt counts before a job enters cap-reached status.
- Employee wage structures, commission percentages, and eligibility settings for all staff types.
- Payment party assignments (shipper pays or receiver pays) per job.
- Discount and forgiveness actions on outstanding charges.
4.2 Accuracy of Configuration
The Logistics Company is solely responsible for the accuracy, legality, and commercial appropriateness of all settings it configures on the Platform. Go Send Am Ltd does not validate, approve, or advise on the rates, fees, or terms you set. Any calculation, charge, wage, or financial record produced by the Platform is derived directly from the values you have entered. If you enter incorrect rates or settings, the resulting records and calculations will reflect those errors. Go Send Am Ltd is not liable for any financial loss, underpayment, overpayment, dispute, or claim arising from rates, fees, or settings that you have incorrectly configured.
4.3 Distance Calculation
Where your pricing model uses distance, the Platform calculates distance automatically using a third-party mapping API based on the pickup and drop-off coordinates entered at job creation. Go Send Am Ltd does not guarantee the accuracy of third-party mapping data and is not liable for any fee discrepancy arising from a calculated distance that differs from the actual route taken by the rider.
5. Wallet System, Fees & Pricing Tiers
To access the Platform’s operational features, Users must maintain a positive credit balance in their Go Send Am virtual wallet.
5.1 Platform Transaction Fee — Tier-Based
Go Send Am Ltd charges a platform transaction fee on each dispatch recorded. The fee is calculated at the point of job acceptance by reference to the pricing tier assigned to your enterprise account, using the formula: MAX(Tier Floor, MIN(Delivery Charge × Tier Rate, Tier Cap)). The fee is deducted from your wallet balance at the point of dispatch acceptance and is frozen at that value. It is never recalculated after acceptance, regardless of subsequent changes to the job or to your pricing tier.
5.2 Current Pricing Tiers

The transaction fee is visible to the Logistics Company on their receipt as “Transaction fee (GSA)”. It is not visible to shippers or delivery recipients at any point.
5.3 Fee on Related Charges
The platform transaction fee applies not only to the original delivery charge but also to re-delivery fees, demurrage charges, and manual re-delivery totals, using the same tier formula. The fee is calculated and posted when each charge is raised. Auction proceeds from abandoned packages are exempt from the platform transaction fee.
5.4 Tier Assignment and Protection
Your pricing tier is assigned by Go Send Am Ltd and stored against your enterprise account. If you were onboarded as an Early Partner, your tier is locked and cannot be reassigned to a different tier by any action, including by Go Send Am Ltd administrators. If your tier is the Standard tier, it may be updated by Go Send Am Ltd with the notice required under Section 21. Tier changes do not apply retroactively to jobs already accepted.
5.5 Wallet Funding Methods
- Debit or Credit Card: via authorised third-party payment gateways integrated into the Platform.
- Direct Bank Transfer: credits are applied only after confirmed receipt and verification by our finance department. You may be required to upload a Proof of Payment.
5.6 Job Acceptance Gate
Before your enterprise account can accept a new job, the Platform checks whether your wallet credit balance is equal to or greater than the calculated transaction fee for that specific job. If your balance is insufficient, job acceptance is blocked until your wallet is funded. This check is dynamic — it uses the actual fee calculated for each job, not a fixed threshold.
5.7 No Third-Party Payment Handling
Go Send Am Ltd does not process, hold, or facilitate payments between the Logistics Company, its riders, and its end-customers. Our system provides a ledger and record function only — recording transactions as entered by the User. We are not liable for payment disputes, cash-on-delivery shortfalls, rider cash retention issues, or any financial disagreement between the Logistics Company and any third party.
5.8 Fee Revision
We reserve the right to revise the Standard tier fee structure with at least thirty (30) days’ written notice to registered Users. Revised fees will not apply retroactively to dispatches already accepted. Early Partner tier rates are permanently frozen and are not subject to revision under any circumstances.
6. Job Lifecycle & Price Lock
Each job on the Platform passes through a defined sequence of states from creation to completion. No state transition is permitted outside the defined sequence. The price lock is the single most important event in the job lifecycle — all downstream financial calculations reference the locked price.
6.1 Payment Party Confirmation
Before a job can proceed to dispatch, the correct paying party must confirm the price. Where the shipper is the paying party, confirmation occurs at bid submission and the price locks on operator acceptance. Where the receiver is the paying party, the system sends an alert to the receiver and dispatch is blocked at the system level until the receiver confirms. This prevents post-assignment price renegotiation outside the Platform.
6.2 Ledger Entries at Lock-In
The moment both parties confirm and the price is locked, the following entries are created automatically and are immutable: the full delivery charge is posted as Expected Revenue; the transaction fee is calculated and posted as a GSA income entry and simultaneously as a deduction on the enterprise ledger; and the enterprise net (delivery charge minus transaction fee) is recorded. These entries cannot be changed after lock-in under any circumstances.
6.3 Job States
The Platform enforces the following job state sequence: Draft → Pending Acceptance → Price Locked → Rider Assigned → In Transit → Delivered → Completed. Additional states include Attempted Delivery, Pending Re-delivery Confirmation, Re-delivery Dispatched, Cap Reached, and Abandoned. Each transition is logged with a timestamp and actor identity. No job may skip a state or revert to a prior state.
6.4 Proof of Delivery
Delivery proof is captured before payment is recorded. A photo and auto-logged timestamp are mandatory. A recipient OTP is optional but strongly recommended. A delivery with photo and timestamp but no OTP is valid and may be set to completed. Go Send Am Ltd is not liable for any dispute arising from a delivery that was completed with photo and timestamp proof but later contested by the recipient.
7. Cancellation Rules
Cancellation outcomes depend on who cancels and what stage the job is at. The following rules apply in all cases.
7.1 Shipper Cancellation — Pre-Pickup Only
A shipper may cancel a job only before the rider has logged a Picked Up event in the app. Upon a valid pre-pickup cancellation, no transaction fee is charged and no penalty applies. The Logistics Company must refund the shipper any amount already collected directly, using their own funds. Go Send Am Ltd plays no role in that refund.
7.2 Shipper Cancellation — Post-Pickup Blocked
Once the rider logs a Picked Up event, the cancellation option is removed from the shipper’s interface at the system level. Shippers cannot cancel a job after pickup under any circumstances. This is a system-level block, not a UI warning.
7.3 Enterprise or Rider Cancellation — Penalty Applies
If the Logistics Company or its rider cancels a job at any stage, Go Send Am Ltd retains the full transaction fee as a penalty, which is deducted automatically from the enterprise’s credit balance. The Logistics Company is responsible for refunding the shipper directly for any amount already collected. No money flows through Go Send Am Ltd in a cancellation refund scenario. GSA’s role in a cancellation is to log it, deduct the penalty, and close the job.
7.4 GSA Refund Policy
Go Send Am Ltd never refunds any party under any circumstance. All refunds owed to shippers arising from enterprise or rider cancellations are the exclusive responsibility of the Logistics Company and must be settled directly between the Logistics Company and the shipper using the Logistics Company’s own funds and payment method.
7.5 Commission on Cancelled Jobs
No commission accrues on jobs cancelled before the rider picks up. Full commission accrues where the enterprise cancels after the rider has picked up, as the rider completed the work. Partial commission on the revenue collected accrues where the shipper cancels after pickup. These entries are auto-generated by the Platform and constitute part of the enterprise’s wage obligations to the rider.
8. Delivery Outcomes & Platform Records
After a delivery is completed, the rider captures the amount collected and the payment method used. The Platform compares this against the locked delivery charge and posts ledger entries accordingly.
8.1 Payment Scenarios

Tips never increase enterprise Revenue. A tip is a rider credit only and is tracked separately in the wages ledger.
8.2 Cash In Hand and Payment Method
Cash payments increase the rider’s Cash In Hand balance by the full amount collected. POS, bank transfer, and card payments do not affect Cash In Hand — those funds go directly to the enterprise account. The Platform enforces this rule automatically at payment capture.
8.3 Ledger Accuracy and User Responsibility
All financial records, reports, and dashboard figures on the Platform are generated directly from the data entered by the Logistics Company, its riders, and its staff. The accuracy of every ledger entry — including declared delivery charges, amounts collected, expenses submitted, wages configured, and payment methods recorded — is entirely the responsibility of the person who entered that data. Go Send Am Ltd does not independently verify, audit, or validate any figure entered into the Platform by a User.
9. Re-delivery & Return
When a delivery attempt fails because the receiver is absent or the address is incorrect, the job enters Attempted Delivery status. The Platform tracks each attempt and applies the following rules.
9.1 Failed Delivery — Responsible Party
At the time of marking an attempted delivery, the rider must select the responsible party: receiver absent, wrong address (shipper’s fault), or other. This selection is immutable after submission and determines who is charged the re-delivery fee. If the responsible party is recorded as “other”, an admin must manually assign the charge party before re-delivery can be triggered.
9.2 Re-delivery Fee
The Logistics Company sets its own re-delivery fee in its platform settings, either as a fixed amount or as a percentage of the original delivery charge. The platform transaction fee applies to the re-delivery fee using the same tier formula. The responsible party must confirm the re-delivery fee before dispatch. Dispatch is blocked at the system level until confirmation is received.
The re-delivery fee amount, structure, and terms are set entirely by the Logistics Company. Go Send Am Ltd does not set, recommend, or validate these fees. Any dispute between the Logistics Company and a shipper or receiver regarding the re-delivery fee is a matter between those parties alone. Go Send Am Ltd is not liable for any such dispute.
9.3 Maximum Attempt Cap
The Platform enforces a maximum number of delivery attempts per job, configured by the Logistics Company in its platform settings. When the attempt count reaches the maximum, the job enters Cap Reached status and the package is held at the enterprise office. A seven (7) day grace period begins immediately at that point.
9.4 Outstanding Charges at Re-delivery
At the time of any re-delivery attempt, the full amount due includes any outstanding original delivery charge not yet collected plus the re-delivery fee. Amounts collected at re-delivery are allocated to the original charge first, then to the re-delivery fee.
9.5 No Return Obligation on Go Send Am Ltd
Go Send Am Ltd does not hold, store, or manage physical packages at any point. Package storage, holding, return, and disposal are entirely the operational responsibility of the Logistics Company. The Platform records the status of packages and calculates applicable charges but has no physical custody of any goods.
10. Demurrage & Storage Charges
After the seven (7) day grace period following a job entering Cap Reached status, the Platform begins automatically accruing a daily demurrage (storage) charge.
10.1 Demurrage Rate
The daily demurrage rate is set by the Logistics Company in its platform settings, either as a fixed daily amount or as a percentage of the original delivery charge. Go Send Am Ltd does not set demurrage rates. The platform transaction fee applies to each daily demurrage charge using the same tier formula. The demurrage rate, structure, and terms are set entirely by the Logistics Company. Go Send Am Ltd does not validate, advise on, or take responsibility for the legality, enforceability, or commercial reasonableness of any demurrage rate configured on the Platform.
10.2 Accrual Period
Demurrage accrues daily from Day 8 after the job enters Cap Reached status (Days 1–7 being the grace period) for a maximum of ninety (90) days. The Platform runs accrual automatically each day. During the demurrage period, the original delivery charge and any outstanding re-delivery fees remain as Expected Revenue — they are not posted as Loss until abandonment is triggered at Day 90.
10.3 Discounts and Forgiveness
The Logistics Company’s admin may apply a partial discount or full waiver (forgiveness) to any outstanding re-delivery or demurrage charge before payment is collected. The discounted or forgiven amount is posted as Loss immediately upon application. Transaction fees already posted when the charge was raised are not reversed. Discounts and forgiveness can only be applied before payment is recorded against a charge.
10.4 Package Release
Before the package is released — whether collected from the enterprise office or dispatched on a manual re-delivery — all outstanding charges (original delivery charge, re-delivery fees, and accrued demurrage) must be settled in full, unless the Logistics Company has applied a discount or forgiveness.
11. Abandoned Packages & Auction Proceeds
11.1 Abandonment Trigger
If a package remains in Cap Reached status and demurrage accrues for ninety (90) days after the grace period expires — a total of ninety-seven (97) days from the Cap Reached date — the Platform automatically sets the job status to Abandoned. Demurrage stops accruing at this point. All unpaid outstanding charges (original delivery charge, re-delivery fees, and all ninety (90) days of demurrage) are posted as Loss. Any amounts already collected before abandonment are retained as Revenue.
11.2 Disposal of Abandoned Packages
Go Send Am Ltd has no involvement in the physical management, storage, or disposal of abandoned packages. All decisions about what to do with an abandoned package — including whether to auction it, donate it, or discard it — are entirely the operational and legal responsibility of the Logistics Company. The Logistics Company must comply with all applicable Nigerian laws in relation to the disposal of unclaimed goods.
11.3 Auction Proceeds — Self-Reported, No Platform Fee
If the Logistics Company auctions an abandoned package and collects proceeds, it may self-report the auction amount in its dashboard. The reported amount offsets the Loss already posted at abandonment up to the total loss amount. If auction proceeds exceed the total loss, the surplus is recorded as additional enterprise revenue. Go Send Am Ltd does not charge a transaction fee on auction proceeds. Auction proceeds are a separate ledger line and are never merged with delivery revenue.
Auction proceeds are entered by the Logistics Company without independent verification by Go Send Am Ltd. The accuracy of any self-reported auction figure is entirely the responsibility of the Logistics Company. Go Send Am Ltd is not liable for any dispute, tax liability, or legal consequence arising from the auction or disposal of an abandoned package.
12. Cash In Hand & Remittances
Cash In Hand (CIH) is the running balance of physical cash a rider holds on behalf of the enterprise at any given moment. It is a ledger tracking obligation — not a bank balance — and is managed entirely by the Logistics Company and its riders. Go Send Am Ltd does not hold, collect, or manage any physical cash.
12.1 CIH Movements
Cash In Hand increases when a rider completes a delivery and collects cash. It decreases when a rider submits a cash-funded expense or when admin confirms a cash remittance. The funding source on every expense submission determines whether CIH is affected — only expenses funded from Cash In Hand reduce the CIH balance. Expenses funded from personal funds or directly by the enterprise do not affect CIH.
12.2 Two-Step Remittance Process
When a rider hands cash to admin, the process requires two steps: the rider submits a remittance record in the app (Step 1), and admin confirms receipt in the system (Step 2). CIH only reduces at Step 2 — admin confirmation. If admin confirms a different amount than the rider submitted, the confirmed amount governs. The discrepancy is flagged and logged automatically. Go Send Am Ltd is not liable for any cash discrepancy, dispute, or loss arising between a rider and the enterprise in the cash remittance process.
12.3 Negative CIH
A rider’s Cash In Hand balance may go negative where expenses are submitted before sufficient cash has been collected. The Platform permits negative CIH and flags it on the admin dashboard. Managing negative CIH balances, recovering cash deficits, and resolving disputes with riders over cash are entirely the responsibility of the Logistics Company.
12.4 Limitation of Liability for Cash
Go Send Am Ltd is not liable for any cash that is lost, stolen, withheld, or disputed between a Logistics Company and its riders. The Platform provides a record of what was entered — it cannot verify what physically happened with cash in the field.
13. Wages, Commission & Tips
The Platform calculates, tracks, and records wages, commission, and tips for employees of the Logistics Company. Go Send Am Ltd does not process payroll. All actual payments to employees are made by the Logistics Company using its own funds and its own payment method.
13.1 Earning Structures — Configured by Logistics Company
The Logistics Company configures the earning structure for each employee in its platform settings. Supported structures include fixed wages per period (per job, hourly, daily, weekly, or monthly), percentage commission on the delivery charge per completed job, and hybrid combinations. Different employees may have different structures. The accuracy of all configured earning structures is entirely the responsibility of the Logistics Company. Go Send Am Ltd does not validate, advise on, or take responsibility for the wage rates, commission percentages, or earning structures configured on the Platform. Any underpayment, overpayment, or labour dispute arising from incorrectly configured wage settings is a matter between the Logistics Company and its employees alone.
13.2 Commission Basis
Commission is always calculated as a percentage of the delivery charge only — never as a percentage of the total including the transaction fee, and never on tips. Commission accrues automatically on each completed job in accordance with the configured rate and is posted as a fully approved expense entry in the enterprise ledger immediately upon accrual.
13.3 Tips
Tips arise where the amount collected exceeds the locked delivery charge. They are credited to the assigned rider’s wages outstanding and do not increase enterprise revenue. The treatment of tips in Cash In Hand depends on the payment method — cash tips increase CIH; POS, card, and bank transfer tips do not. All tip records are linked to the source job for audit traceability.
13.4 Wage Remittance
Wages and tips outstanding remain in the ledger until an admin explicitly confirms a wage remittance. Outstanding wages are never automatically cleared, archived, or written off by the Platform. A zero balance results only from a confirmed remittance action. Partial payments are fully supported. Go Send Am Ltd is not liable for any wage dispute between the Logistics Company and its employees.
14. Platform Record Disclaimer & Indemnification
14.1 Records Reflect User Input Only
Every financial figure, ledger entry, report, dashboard display, and calculation produced by the Platform — including delivery charges, amounts collected, transaction fees, Cash In Hand balances, wages, commissions, expenses, re-delivery fees, demurrage totals, loss amounts, and net positions — is derived directly and exclusively from data entered by the Logistics Company, its riders, or its staff. Go Send Am Ltd does not independently verify, audit, cross-check, or validate any figure entered into the Platform by a User.
14.2 No Warranty of Accuracy
Go Send Am Ltd makes no representation or warranty that any record, calculation, report, or display on the Platform is accurate, complete, current, or free from error. Platform records are provided as-is, for operational reference purposes only. They do not constitute audited accounts, certified financial statements, or legally binding proof of any transaction for purposes beyond the Platform’s own dispute resolution function.
14.3 Miscalculation and Configuration Errors
Any financial miscalculation, incorrect fee, wrong wage figure, inaccurate ledger entry, or erroneous report produced by the Platform that results from a configuration error, incorrect data entry, or incorrect setting by the Logistics Company is not the liability of Go Send Am Ltd. This includes but is not limited to: incorrect delivery charge rates, wrong re-delivery fee structures, incorrect demurrage rates, misconfigured commission percentages, wrong wage structures, and incorrect payment method selections.
14.4 Display Errors and Technical Faults
Go Send Am Ltd is not liable for any financial loss, operational disruption, commercial decision, or dispute arising from a display error, calculation bug, data rendering issue, or temporary system fault on the Platform. Where a User identifies a suspected error in any Platform-generated figure, they must report it to [email protected] immediately and must not rely on the disputed figure for any financial, commercial, or legal purpose until the matter is resolved.
14.5 Third-Party Disputes — Indemnification
The Logistics Company agrees to indemnify, defend, and hold harmless Go Send Am Ltd, its directors, officers, employees, and agents from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, fines, penalties, and legal costs arising from or related to:
- Any dispute between the Logistics Company and a shipper, receiver, vendor, or customer regarding a delivery charge, re-delivery fee, demurrage charge, or any other fee recorded on the Platform.
- Any dispute between the Logistics Company and any of its employees or riders regarding wages, commission, tips, Cash In Hand, or any other financial record on the Platform.
- Any loss of goods, cash, or property that occurred physically and is reflected — accurately or inaccurately — in Platform records.
- Any financial decision made by the Logistics Company in reliance on Platform records, reports, or calculations.
- Any claim by a third party that a Platform record constitutes a misrepresentation of a financial transaction.
- Any regulatory action arising from the Logistics Company’s use of Platform records in a tax, labour, or financial compliance context.
14.6 Audit Trail Integrity
The Platform maintains an immutable audit log of all actions taken in the system. Log entries cannot be deleted or edited by any user, including system administrators. Corrections to erroneous entries are made by posting a new correction entry referencing the original. The audit log is provided as an operational record tool. Go Send Am Ltd does not warrant that the audit log constitutes a legally admissible record for any purpose outside of Platform-level dispute resolution.
15. Prohibited Items & Prohibited Use
15.1 Prohibited Items
You are strictly prohibited from using the Platform to record, manage, or facilitate the dispatch of:
- Illegal drugs, psychotropic substances, or any controlled substance under Nigerian law.
- Firearms, ammunition, explosives, or any weapon or weapon component.
- Stolen goods, counterfeit goods, or any property obtained through unlawful means.
- Human trafficking-related cargo or any goods associated with exploitative or criminal conduct.
- Any item prohibited by the laws of the Federal Republic of Nigeria or any state in which the delivery is made.
15.2 Prohibited Platform Use
You must not:
- Attempt to reverse-engineer, copy, reproduce, or create derivative works from the Platform.
- Use automated tools, bots, or scripts to interact with the Platform without our prior written consent.
- Share your account credentials with any unauthorised person.
- Use the Platform to store or transmit malicious code, viruses, or harmful data.
- Use the Platform in any way that violates any applicable Nigerian or international law or regulation.
- Impersonate Go Send Am Ltd, its employees, or any other person or entity through the Platform.
15.3 Indemnification for Prohibited Use
The Logistics Company assumes full legal liability for the nature of all items recorded and dispatched through the Platform. You agree to indemnify, defend, and hold harmless Go Send Am Ltd, its directors, employees, and agents from and against any and all claims, liabilities, losses, penalties, fines, legal fees, and expenses arising from or connected to your violation of this Section 15, including any regulatory action, investigation, or prosecution by any Nigerian authority.
16. Limitation of Liability
16.1 Software Availability
While we target maximum uptime, Go Send Am Ltd does not guarantee uninterrupted or error-free service. We are not liable for service interruptions, delays, or data entry errors made by the User.
16.2 Physical Goods
We are not liable for the loss, theft, damage, or misdelivery of physical goods. We do not perform logistics. Liability for goods in transit rests entirely with the Logistics Company and its riders.
16.3 Financial Loss
We are not liable for any financial losses arising from disputes between you and your customers, riders, or employees; cash-on-delivery shortfalls; incorrect wage or commission calculations arising from your configuration; re-delivery fees or demurrage charges disputed by shippers or receivers; or any commercial decision made using data from the Platform.
16.4 Third-Party Service Providers
The Platform integrates with third-party service providers, including Prembly Limited for identity verification and our payment gateway partners for wallet funding. Go Send Am Ltd is not liable for the availability, accuracy, or performance of any third-party service. Your use of any third-party service integrated into the Platform is subject to that provider’s own terms and conditions.
16.5 Maximum Aggregate Liability
To the maximum extent permitted by Nigerian law, our total aggregate liability for any and all claims arising out of or related to these Terms or your use of the Platform shall not exceed the total service fees paid by you to Go Send Am Ltd in the three (3) calendar months immediately preceding the event giving rise to the claim.
16.6 Consequential Loss Exclusion
In no event shall Go Send Am Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity, even if we have been advised of the possibility of such damages.
17. Force Majeure
Go Send Am Ltd shall not be liable for any failure or delay in the performance of our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
- Power outages or grid failures affecting our hosting infrastructure or your access to the Platform.
- Failure or disruption of internet or telecommunications networks in Nigeria or elsewhere.
- Acts of God, natural disasters, or extreme weather events.
- Failure or outage of third-party payment gateways, cloud providers, verification service providers, or other technology vendors we rely upon.
- Civil unrest, strikes, government action, or changes in applicable law.
In such circumstances, our obligations will be suspended for the duration of the force majeure event. We will use reasonable efforts to notify affected Users and to restore normal service as quickly as practicable. Force majeure events do not entitle you to a refund of service fees already deducted for dispatches successfully processed prior to the event.
18. Data Protection & Privacy
18.1 Compliance
Both parties agree to comply with the Nigeria Data Protection Act 2023 (“NDPA”) and all regulations issued thereunder in respect of all personal data processed through the Platform.
18.2 Your Obligations as Data Controller
You warrant that you have obtained all necessary and lawful consents from your customers, riders, and any other data subjects whose personal data you input into the Platform. You are responsible for ensuring your data practices comply with the NDPA, and you shall indemnify Go Send Am Ltd against any regulatory penalty or claim arising from your failure to do so.
18.3 Third-Party Data Processors: Prembly Limited
Go Send Am Ltd engages Prembly Limited as a sub-processor to support identity verification and fraud detection functions on the Platform, including the KYB verification process described in Section 2. Data submitted during verification may be processed by Prembly under their own Terms of Use and Privacy Policy. Go Send Am Ltd is not responsible for Prembly’s independent data practices. 18.4 KYB Data — No Retention of NIN or CAC Numbers
During onboarding, we transmit your CAC registration number and NIN directly to the relevant government verification platforms to confirm your business registration status. We do not write these identifiers to our database at any point. Once verification is complete, the raw identifiers are discarded. 18.5 Data Breach Notification
In the event that Go Send Am Ltd, as Data Processor, becomes aware of a personal data breach affecting data you have inputted into the Platform, we will notify you without undue delay and no later than seventy-two (72) hours of becoming aware. You, as Data Controller, are responsible for notifying the Nigeria Data Protection Commission (“NDPC”) and affected data subjects where required by law.
18.6 Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference and is available at www.gosendam.com/privacy-policy.
19. Intellectual Property
The Platform and all its original content, features, functionality, design, code, trademarks, and branding are and will remain the exclusive property of Go Send Am Ltd and its licensors. The Platform is protected by copyright, trademark, and other applicable laws of Nigeria.
You are granted a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your authorised internal business operations. This licence does not permit you to copy, reproduce, distribute, reverse-engineer, or create derivative works from any part of the Platform. Go Send Am Ltd trademarks and branding may not be used in connection with any product or service without our prior written consent.
20. Termination & Suspension
20.1 Termination by Go Send Am Ltd
We reserve the right to suspend or terminate your access to the Platform, with or without prior notice, in the following circumstances:
- Non-payment or persistent insufficient wallet balance.
- Submission of false or fraudulent KYB details during onboarding.
- Violation of any provision of these Terms, including the Prohibited Items and Prohibited Use provisions in Section 15.
- Reasonable suspicion of fraudulent or criminal activity conducted through the Platform.
- A requirement under applicable law or regulatory order.
20.2 Wallet Balance on Termination
Where your account is terminated by Go Send Am Ltd for reasons other than fraud or criminal conduct, any credit balance remaining in your wallet will be refunded to you within fifteen (15) business days of the termination date, net of any outstanding service fees. Where termination follows a fraud investigation, wallet funds may be held pending resolution of the investigation and, where applicable, any law enforcement or regulatory process.
20.3 Termination by the User
You may terminate your account at any time by submitting a written request to [email protected]. Any remaining wallet balance will be refunded to you within fifteen (15) business days of processing your request, net of any outstanding service fees.
20.4 Effect of Termination
Upon termination, your right to access and use the Platform ceases immediately. We will retain your data for the period required by applicable law, after which it will be securely deleted in accordance with our Privacy Policy.
20.5 Survival
Provisions which by their nature should survive termination shall do so, including without limitation: Section 14 (Platform Record Disclaimer), Section 15 (Prohibited Use), Section 16 (Limitation of Liability), Section 18 (Data Protection), Section 19 (Intellectual Property), Section 22 (Governing Law), and all indemnification obligations.
21. Amendments to These Terms
Go Send Am Ltd reserves the right to amend these Terms at any time. We will provide registered Users with at least fourteen (14) days’ written notice of any material changes via the email address on record or via an in-platform notification.
A revised version will be published on our website with an updated version number and “Last Updated” date. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform and may terminate your account pursuant to Section 20.3.
22. Governing Law & Dispute Resolution
22.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Go Send Am Ltd currently operates in Lagos and intends to expand operations to other states across Nigeria. These Terms apply to all Users in all states where the Platform is made available.
22.2 Dispute Resolution
In the event of a dispute arising out of or in connection with these Terms or your use of the Platform, the parties shall first attempt to resolve the dispute informally by notifying the other party in writing and engaging in good-faith negotiation for a period of thirty (30) days.
If the dispute is not resolved within thirty (30) days of written notification, it shall be referred to and finally resolved by arbitration administered by the Lagos Court of Arbitration (“LCA”) in accordance with its Arbitration Rules. The seat of arbitration shall be Lagos, Nigeria. The language of arbitration shall be English. The arbitral tribunal shall consist of one (1) arbitrator.
Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights.
23. General Provisions
23.1 Entire Agreement
These Terms, together with our Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and Go Send Am Ltd in relation to your use of the Platform, and supersede all prior agreements, representations, and understandings.
23.2 Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed severed, and the remaining provisions shall continue in full force and effect.
23.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
23.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets, with notice to you.
23.5 Headings
